2.2 Our services are technology tools and automation systems. We do not provide business consulting, legal, tax, financial, medical, or compliance advice as part of any engagement.

3. Service Agreement and Setup

3.1 A binding service agreement is formed when you have received and accepted a written proposal or invoice from us, AND the agreed setup fee or deposit has been paid and cleared.

3.2 Setup Timeline: Standard setup is 7–14 business days depending on complexity and how promptly you provide required materials. Delays caused by late client responses or incomplete information extend the timeline accordingly. We will notify you of any delay.

3.3 No Lock-In Contracts: We do not require minimum contract terms. Monthly maintenance plans run month-to-month after your system goes live. You may cancel with 14 days' written notice.

3.4 We reserve the right to decline any project enquiry at our discretion, including where we determine the project is not a suitable fit for our services.

3.5 Prices are in Australian dollars (AUD) inclusive of GST unless stated otherwise.

4. Payment Terms

4.1 Setup Fee: The full setup fee is payable before work commences. Work does not begin until payment is received and cleared.

4.2 Payment Plans: For projects over $1,500, a 2-instalment arrangement may be available by agreement. First instalment is due before work begins. Second is due at project handover, before the live system is activated.

4.3 Monthly Fees: Billed monthly in advance. The first monthly payment is due on the date your system goes live.

4.4 Late Payments: Invoices not paid within 14 days of the due date may result in service suspension. A $50 reactivation fee applies to suspended accounts. We will notify you before suspending any live system.

4.5 Interest: We reserve the right to charge interest at 10% per annum on overdue amounts, calculated daily from the due date.

5. Client Responsibilities

5.1 To deliver your project on time and as agreed, you agree to:

  • Provide all required information, content, and access credentials within the timeframes we request.
  • Respond to questions and review requests within a reasonable time (generally 3 business days).
  • Nominate one point of contact for your project.
  • Test the AI system and provide clear feedback during setup.
  • Notify us of errors or needed adjustments within 7 days of identifying them.
  • Maintain active accounts for integrated third-party tools (Google, CRM, WhatsApp, etc.).

5.3 You are responsible for ensuring that AI systems we build for you are used lawfully in your business — including compliance with the Spam Act 2003, the Privacy Act 1988, and any industry-specific regulations that apply to you.

5.4 You are responsible for reviewing and approving AI-generated content before it goes live and monitoring ongoing AI outputs.

6. Service Modifications and Support

6.1 Included adjustments: Monthly plans include minor updates within the original scope — such as FAQ changes, business hours updates, or tone adjustments.

6.2 Additional work: New features, additional integrations, or major workflow changes beyond the original scope are quoted separately.

7. Intellectual Property

7.1 Your deliverables: Upon full payment of all fees, you own the custom configuration, content, chatbot flows, and automation workflows built specifically for your business.

7.2 Our tools and platforms: We use third-party platforms to build your system. These tools remain subject to their own licences. We do not transfer any platform licence to you.

7.3 Our methodology: Our processes, prompt engineering frameworks, system architecture designs, and anything not custom-built for your specific business remain our intellectual property.

8. Confidentiality

8.1 We treat all information you provide as confidential. We do not share your business information, client data, or project details with third parties except where required to deliver your project.

8.2 We may reference the general type of work completed in our portfolio (e.g., "AI booking system for a Perth cleaning business") without identifying you by name unless you have given written permission.

9. Data and Privacy

9.1 All client data is hosted on Australian servers and subject to Australian privacy law. You retain ownership of all your business data and your customers' data.

9.2 See our full Privacy Policy at syedco.au/privacy for complete details on data collection, storage, AI processing, and your rights.

10. AI Accuracy — No Warranty

10.1 AI systems can produce errors. While we train AI systems on your approved content, we cannot guarantee 100% accuracy. AI technology may occasionally produce incorrect, incomplete, or unexpected responses.

10.2 Services are provided "as-is." To the extent permitted by law, we exclude implied warranties of merchantability, fitness for a particular purpose, uninterrupted operation, or error-free performance.

10.4 No guarantee of business outcomes. AI automation can improve your response times, lead capture, and admin efficiency. We cannot and do not guarantee specific revenue increases, lead volumes, or cost savings.

12. Limitation of Liability

12.1 To the maximum extent permitted by law, Syed Co Business Solutions' total liability shall not exceed the total fees paid by you in the 3 months preceding the claim, or $1,000 AUD — whichever is lower.

12.3 No insurance disclosure: Syed Co Business Solutions does not currently hold professional indemnity or public liability insurance. We are transparent about this. We manage risk through careful scoping, written agreements, and thorough testing before handover.

14. Refunds and Cancellations

For our full policy, see: syedco.au/refunds

In summary: Setup fees are non-refundable once work has commenced (Day 3 of setup onward). Monthly plans can be cancelled with 14 days' written notice.

16. Disputes

16.1 Contact us first at contact@syedco.au. We commit to responding within 5 business days. Unresolved disputes may be referred to the Australian Small Business and Family Enterprise Ombudsman, or to the Department of Mines, Industry Regulation and Safety (Consumer Protection WA).
